Terms of Service

1. General

These Terms of Service apply to the company-data service ("Service") provided by Axiora Labs Oy (Business ID: 3605198-5, hereinafter "FlowDial" or "Provider"), available at app.flowdial.io. By using the Service, you accept these Terms in full.

2. Description of the Service

FlowDial is a B2B company-data service providing access to public and commercially available information about Finnish companies. The Service includes searching, filtering, viewing, and exporting company data.

3. Registration and account

• Use of the Service requires registration. You must provide accurate and up-to-date information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account.
• One account is permitted per individual. Team accounts are available separately.
• FlowDial reserves the right to suspend accounts that are used in breach of these Terms.

Subscription plans, the included number of users, export quotas, and other usage limits are determined by the price list in force at the time. Exceeding the user count or export quota may result in additional charges, temporary restriction of the Service, or - in serious or repeated cases - termination of the agreement. Sharing credentials with more individuals than the subscription allows is considered a breach of these Terms.

4. Permitted use

The Service may be used for lawful B2B purposes, including:

• Sales prospecting and lead generation
• Market research and competitive analysis
• Investment target identification
• Identifying target companies for recruitment

5. Prohibited use

The Service may not be used for:

• Sending spam or bulk messages
• Reselling data or copying the database
• Automated data collection (scraping) without written permission
• Activity in breach of any law or regulation
• Profiling or surveillance of private individuals
• Combining data in ways that infringe privacy rights
• Overloading the Service or otherwise interfering with its operation

6. Accuracy of data

FlowDial strives to provide data that is as accurate and up to date as possible. Data is collected from public sources and refreshed regularly. However, FlowDial does not warrant the data to be error-free, complete, or up to date. Users are responsible for verifying the accuracy of data before making business decisions based on it.

7. Intellectual property

• The Service's content, software, user interface, and database structure are the property of FlowDial.
• Users receive a limited, non-exclusive right to use data exported from the Service in their own business operations.
• Reselling, republishing, or building a competing database from the data is prohibited.

7a. Use monitoring and audit

Axiora Labs Oy reserves the right to monitor use of the Service and collect usage data to detect misuse and verify compliance with these Terms. If Axiora Labs Oy has reasonable grounds to suspect a breach of these Terms or the Acceptable Use Policy, it may request reasonable information from the customer about how the Service is being used, including the number of users, the purposes for which exports are used, and the downstream processing of those exports. The customer agrees to provide the requested information within 14 days of the request.

8. Pricing and payment

• Pricing for the Service follows the price list in force at the time.
• Subscriptions are billed in advance according to the selected billing period.
• Prices are exclusive of VAT unless stated otherwise.
• FlowDial reserves the right to change prices on 30 days' written notice.

9. Cancellation

• You may cancel your subscription at any time. If your subscription includes a separately agreed minimum term, cancellation takes effect at the end of that minimum term. Otherwise, cancellation takes effect at the end of the current billing period.
• Fees already paid are non-refundable for the current period or the minimum term.
• Early termination during the minimum term does not release the customer from the obligation to pay fees for the remainder of the term, except in the case of a material breach by the Provider.
• Account data is retained for 90 days after cancellation, after which it is deleted.

10. Limitation of liability

• FlowDial provides the Service "as is" without warranties of availability, accuracy, or fitness for a particular purpose.
• FlowDial is not liable for indirect damages arising from use of the Service, including loss of revenue or business interruption.
• FlowDial's maximum aggregate liability is limited to the service fees paid by the user in the preceding 12 months.

The above limitation does not apply in the following cases:

• a) Wilful or grossly negligent breach by the customer of these Terms, the Acceptable Use Policy, or applicable data-protection laws;
• b) The customer's obligation to indemnify Axiora Labs Oy for damages, regulatory fines, defence costs, and third-party claims caused by the customer's acts or omissions;
• c) Infringement of intellectual property rights;
• d) Breach of confidentiality obligations.

10a. Customer indemnity

The customer agrees to defend, indemnify, and hold harmless Axiora Labs Oy from and against any damages, costs (including reasonable legal fees), regulatory fines, and third-party claims arising out of:

• a) The customer's use of the Service in breach of these Terms, the Acceptable Use Policy, or applicable law (including the GDPR and electronic-communications legislation);
• b) The customer's failure to meet its obligations as a data controller for data exported from the Service;
• c) Outreach conducted by the customer without an own lawful basis for processing or in disregard of a data subject's right to object;
• d) Unauthorised use of the customer's account caused by negligent handling of credentials by the customer.

Axiora Labs Oy will notify the customer promptly of any claim it receives and give the customer a reasonable opportunity to participate in the defence.

11. Service availability

FlowDial aims to keep the Service available 24/7 but does not guarantee uninterrupted operation. Maintenance windows are announced in advance where possible. FlowDial reserves the right to modify the features and functionality of the Service.

12. Data protection

Processing of personal data is described in our Privacy Policy. By using the Service you accept the processing practices described there.

FlowDial acts as an independent data controller for its own database in all use of the Service. The customer is responsible for its own compliance with data-protection legislation in relation to data exported from the Service. The respective roles of the parties are described in more detail on the Roles & Responsibilities page.

13. Changes to these Terms

FlowDial reserves the right to amend these Terms. Material changes will be communicated by email and within the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.

14. Governing law and disputes

These Terms are governed by Finnish law. Disputes arising from these Terms shall first be resolved through negotiation. If no settlement is reached, disputes shall be settled in the District Court of Helsinki.
